We built this firm once before.

Wayne Williams and Kenny Broom ran Merit Consulting together in the 2010s. Merit Consulting Partners is the same partnership, rebuilt around the way finance work gets done now.

Why the Firm Exists

Two partners who have sat on both sides of the table.

Between us, more than forty years inside national accounting firms — BDO, Crowe, PwC, Weaver, Armanino — as audit partners and senior managers. We know what a diligence team is looking for, what makes an auditor slow down, and which questions a lender saves for the second call.

Merit is a consulting firm, not an accounting firm. We don't audit, review, compile, or sign anything, and we don't prepare returns. What our background gives you is someone on your side of the table who knows exactly what the other side will ask.

Then we left, and built companies of our own: a consulting firm scaled to $1.7 million in revenue in two years, two ventures capitalized at $7 million and $10 million, a fund administration practice whose revenue doubled in three years. The distance between reviewing a company's financials and being responsible for them is enormous. Most advisors have only stood on one side of it.

That combination is the firm: national-firm technical depth, applied by people who have had to make payroll.

How We Work

Four principles. Every engagement.

We scope in writing, and we scope small first

Every engagement starts with a fixed-fee assessment. We'd rather learn in three weeks that you need less than you thought than sell you twelve months of something.

We tell you when you're asking for the wrong thing

Sometimes the request is a forecasting model and the real problem is a chart of accounts that can't support one. Saying so costs us scope today. It's the whole basis of the relationship tomorrow.

AI does the work that shouldn't need judgment

We design AI into the processes we build: flagging anomalies, clustering exceptions, assembling documents, drafting narrative. What it produces is a draft. Every number that reaches you has been reviewed by the person accountable for it, and we document where those review points sit so your controls are auditable, not assumed.

We build so you need us less

The measure of a finance function is whether it runs without the consultant. We document the procedures, train your team, and tell you when the engagement should step down in scope.

Chief Operating Officer

Wayne leads engagement delivery and firm operations.

He spent more than twenty years in public accounting, rising to Partner at both BDO USA and Crowe Horwath after starting at PricewaterhouseCoopers in New Orleans and Dallas. Crowe hired him to build its Dallas office from nothing; as Partner-in-Charge of Audit he grew it from four people to seventy-five in eighteen months. At BDO he served as Southwest Regional Consulting Practice Leader and built the Dallas consulting practice to roughly $5 million in annual revenue, working primarily with oil and gas, energy, and complex international clients.

For the last decade he has worked on the operating side. He co-founded and served as CFO of two ventures — a medical technology company and a fuel distribution business — closing seed raises of $7 million and $10 million and designing the back office for both from the ground up. Through his prior consulting firm he redesigned the finance organization of a $700 million private-equity-owned manufacturer completing five to seven acquisitions a year, led IPO readiness for a $400 million organization, and served as outsourced CFO of a $200 million public trust.

His range is unusually wide for a fractional CFO: SEC reporting and technical accounting at one end, buy-side diligence and post-merger integration in the middle, fraud investigation and forensic accounting at the other. He holds a Bachelor of Science in Management with a specialization in accounting, cum laude, from Tulane University.

Kenny Broom, CPA

Chief Financial Officer

Kenny leads financial strategy and technical accounting.

He brings more than twenty years of public accounting experience across national and regional firms, including audit roles at BDO USA, Crowe, Weaver, and Armanino. At Armanino — a top-twenty national firm — he served as Senior Manager over every public company issuer client in Dallas, oversaw the office's emerging technology practice, and grew a $1.2 million book of business to $3.1 million.

Most recently he was Director of Venture Capital at Securitize Fund Services, the largest digital asset fund administrator in the world, with final responsibility for 176 funds, including the largest digital asset fund group globally. He led four independent teams, ran monthly budgeting and profitability analysis across the practice, doubled revenue and profitability in three years, and turned the division's weakest teams into its most profitable.

Kenny is a past President of TXCPA Dallas and previously served on the board of the Texas Society of CPAs, where he chaired the Leadership Development Academy along with the finance, strategic planning, vision, and nominations committees. He speaks frequently on innovation in the accounting profession. He holds a Master of Science in Accounting and Information Systems from the University of Texas at Dallas and a Bachelor of General Studies from West Texas A&M University, and is a Certified Public Accountant licensed in Texas.

The Partnership

Why two, and why equal.

Merit is a fifty-fifty partnership by design. Equal ownership means neither partner can hand off a client relationship and call it delivered. The accountability has nowhere to go.

It also means the firm grows only as fast as it can grow well. We are deliberate about how many engagements we carry, and we'll tell you if the timing doesn't work rather than take the work and staff it thin.

Merit Consulting Partners, LLC is organized under the laws of Wyoming, with client operations based in the Dallas–Fort Worth metroplex.

Most of our work is in Texas — DFW, Houston, Austin, and San Antonio — and we serve clients nationally where the engagement fits.
