1. Acceptance
These Terms of Use govern your access to and use of consultmerit.com (the "Site"), operated by Merit Consulting Partners, LLC, a Wyoming limited liability company ("Merit," "we," "us," or "our").
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
2. No professional relationship
Using the Site does not create a client, advisory, fiduciary, or professional relationship of any kind.
Submitting a contact form, sending an email, scheduling a call, or having an initial conversation with us does not create such a relationship. A relationship begins only when both parties execute a written engagement letter specifying scope, deliverables, fees, and responsibilities.
Until an engagement letter is signed, we owe you no professional duty, and you should not rely on anything we say or publish as advice directed to your circumstances.
3. Firm status and the nature of Site content
Merit Consulting Partners, LLC is a management and financial consulting firm. We are not a licensed CPA firm and are not registered with the board of accountancy of any jurisdiction. We do not perform audits, reviews, compilations, or any other attest engagement, and we do not prepare tax returns or issue tax opinions. We are not attorneys and do not practice law. We are not registered investment advisers or broker-dealers.
Individual professionals at the firm may hold professional licenses. Any such credential belongs to the individual and does not extend to the firm or change the firm's status described above.
Content on the Site is general information only. It is not accounting, tax, legal, or investment advice, it is not tailored to any particular situation, and it may not reflect current law, regulation, or accounting standards. Do not act on it without professional advice addressed to your specific facts. Our full Disclosures are incorporated into these Terms by reference.
4. No confidentiality in unsolicited communications
Information you send us before an engagement letter is signed is not confidential and is not subject to any professional or contractual duty of confidentiality. Do not send confidential, proprietary, or sensitive information through the Site or by unsecured email. If we need such material, we will establish a secure channel.
Handling of information submitted through the Site is described in our Privacy Policy.
5. Permitted use
You may access and use the Site for lawful business and informational purposes. You may not:
- Use the Site in violation of any law or regulation
- Attempt to gain unauthorized access to the Site or any connected system
- Interfere with the Site's operation, security, or availability
- Use automated means to scrape, harvest, or systematically extract content, except for standard search engine indexing
- Reproduce, republish, distribute, or create derivative works from Site content except as permitted in Section 6
- Use the Site to transmit unsolicited commercial messages, malware, or harmful code
- Misrepresent your identity or affiliation
6. Intellectual property
All content on the Site — text, graphics, logos, the chevron monogram, page design, frameworks, and methodologies described — is owned by Merit or licensed to us and is protected by copyright, trademark, and other laws.
You may view, download, and print Site content for your own internal, non-commercial reference, provided you retain all proprietary notices. Any other use requires our prior written permission.
"Merit Consulting Partners" and our logo are our marks. Nothing on the Site grants any license to use them.
7. Third-party content and links
The Site may link to or reference third-party websites, tools, and materials. We provide these for convenience. We do not control, endorse, or assume responsibility for third-party content, and your use of third-party services is governed by their terms.
8. Forward-looking statements and prior results
Descriptions of prior engagements, roles, and outcomes — including those in individual biographies — reflect work performed at Merit or at prior organizations, as indicated. Prior results do not guarantee or predict a similar outcome in any future engagement. Figures describing prior employers or client organizations are provided for context and are not representations by Merit as to those organizations' current condition.
9. Disclaimer of warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that Site content is accurate, complete, or current.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MERIT AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
This section does not limit liability that cannot be limited under applicable law. It applies to Site use only; liability arising from a signed engagement is governed by that engagement letter.
11. Indemnification
You agree to indemnify and hold harmless Merit and its members, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.
12. Governing law and dispute resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles.
Mediation first. Before initiating any proceeding arising out of these Terms or the Site, the parties will attempt in good faith to resolve the dispute through mediation in Dallas County, Texas, before a mutually acceptable mediator, with costs shared equally. This requirement does not apply to a request for injunctive relief to protect intellectual property or confidential information.
Venue. Any dispute not resolved through mediation will be brought exclusively in the state or federal courts located in Dallas County, Texas, and each party consents to personal jurisdiction and venue there.
[Alternative to consider with counsel: binding arbitration under AAA Commercial Rules in Dallas County in place of the venue provision. Arbitration offers privacy and speed at the cost of appeal rights. For a website terms page — as opposed to an engagement letter — court venue is usually sufficient.]
13. Changes to these Terms
We may revise these Terms at any time. Revisions take effect when posted, and the "Last updated" date will reflect the change. Your continued use of the Site after a revision constitutes acceptance. Review these Terms periodically.
14. Changes to the Site
We may modify, suspend, or discontinue the Site or any part of it at any time, without notice or liability.
15. Severability and waiver
If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it.
16. Entire agreement
These Terms, together with our Privacy Policy and Disclosures, constitute the entire agreement between you and Merit regarding the Site, and supersede any prior understanding on that subject. They do not modify or supersede any signed engagement letter, which governs the services described in it.
